Meteoros Website, Mobile Application and MOS IIoT Platform
These Terms of Use ("Terms") govern access to and use of the Meteoros website at meteoros.io, the Meteoros mobile application, the MOS industrial IoT platform, related websites, APIs, connected devices, gateways and associated services (collectively, the "Services").
The Services are provided by Meteoros Sensing Private Limited, having its registered office at 2nd Floor, 28, Shanmugam Rd, West Tambaram, Tambaram, Chennai, Tambaram, Tamil Nadu 600045, India ("Meteoros", "we", "us" or "our").
By creating an account, accessing the Website, App or Platform, connecting a device, or using any Service, you agree to these Terms. If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation.
1. Service description
The Services may allow authorised users to:
- Register and monitor connected padlocks and other lockout/tagout devices.
- View device status, events, tamper notifications, alarms and connectivity information.
- Configure users, roles, permissions, sites, assets and operational rules.
- Create, approve, revoke or manage access permissions where enabled.
- View, search, export and retain audit records.
- Use analytics, dashboards, integrations, APIs and compliance reports.
- Receive notifications relating to device status, tampering, unauthorised activity, connectivity or configured thresholds.
Functionality depends on the purchased product, device model, deployment configuration, subscription, customer configuration and applicable documentation.
2. Safety and operational responsibility
The Services are assistance, monitoring and audit tools. They do not replace:
- A customer's lockout/tagout programme.
- Applicable occupational health and safety procedures.
- Site-specific risk assessments and permit-to-work systems.
- Isolation, de-energisation, verification and release procedures.
- Competent-person supervision, worker training and physical inspection.
- Applicable laws, standards and regulatory requirements.
Meteoros does not guarantee that use of the Services alone will prevent injury, death, equipment damage, unauthorised access, hazardous-energy release, production interruption or regulatory action.
Users must not treat a mobile status, dashboard status, connectivity indication or electronic notification as the sole confirmation that equipment is safe. The customer remains responsible for verifying physical isolation and following approved safety procedures.
3. Permitted use
You may use the Services only:
- For lawful business, industrial, safety, monitoring and asset-management purposes.
- In accordance with these Terms, applicable documentation and your organisation's procedures.
- Through authorised accounts and supported devices.
- With appropriately trained and authorised personnel.
- In a manner that does not endanger people, property, systems or operations.
4. Prohibited use
You must not:
- Use the Services unlawfully or in breach of safety regulations.
- Bypass, defeat, disable or interfere with a physical lock, tamper mechanism, security control, encryption, authentication or access restriction.
- Share another person's credentials or permit unauthorised personnel to administer the Services.
- Reverse engineer, decompile, disassemble, copy, modify or create derivative works, except where mandatory law permits.
- Probe, scan, test or attack the Services without written authorisation; introduce malware or excessive traffic.
- Monitor people unlawfully, infringe third-party rights, scrape data outside an authorised API, or resell the Services without written authorisation.
- Use the Services as an emergency-control system, life-support system or sole safety interlock unless Meteoros expressly approves that use in writing.
5. Accounts and security
You are responsible for accurate account information, credential confidentiality, multi-factor authentication where available, appropriate role assignment, removal of departed users, review of audit logs and alerts, and prompt reporting of suspected compromise or unauthorised access. You are responsible for activity performed through your account unless caused by Meteoros' breach of its security obligations.
6. Customer configuration and data
The customer is responsible for correctly configuring sites, assets, users, roles, alerts, rules and integrations; maintaining accurate records; obtaining required permissions and notices; selecting appropriate retention periods; maintaining network, gateway, power, mobile, cloud and on-premise infrastructure; and backing up exported records where required.
7. Availability and communications
Meteoros will use reasonable efforts to maintain the Services. Availability may be affected by internet, LoRaWAN, cellular, Bluetooth, NFC, gateway, power, battery, device, environmental, network, third-party, customer-system, maintenance, security or other events outside Meteoros' reasonable control. Notifications and alerts may be delayed, incomplete, duplicated or unavailable. You remain responsible for local procedures and independent escalation methods.
8. Intellectual property
Meteoros and its licensors retain all rights in the Website, App, Platform, software, firmware, algorithms, interfaces, documentation, designs, logos, names, trademarks, improvements, updates, derivative works and technical materials. Subject to payment and these Terms, Meteoros grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right to use the Services during the applicable subscription or licence period. The customer retains ownership of customer data and grants Meteoros a limited licence to host, process, transmit, secure, support and improve the Services as necessary to provide them. Meteoros may use aggregated or de-identified technical and operational data for security, reliability, analytics, benchmarking and product improvement where it cannot reasonably identify a person or customer.
9. Third-party services
The Services may interoperate with third-party cloud providers, network services, analytics tools, identity providers, payment processors, mapping services, app-store services and enterprise systems. Third-party services may be subject to separate terms and privacy notices. Meteoros is not responsible for third-party services it does not control.
10. Fees, suspension and termination
Fees, subscription periods, hardware charges, support, hosting, configuration, retention and deployment terms are governed by the applicable order, proposal or customer agreement. Meteoros may suspend or restrict access if fees are overdue, use creates a security, legal, safety or operational risk, the customer breaches these Terms, suspension is required by law or a service provider, or emergency action is necessary to protect the Services or users. On termination, access rights end and customer data will be returned, exported, deleted or retained according to the customer agreement and applicable law.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as available" and "as documented" basis. Meteoros does not warrant that the Services will be uninterrupted or error-free, available in every location or network, compatible with every device or third-party system, sufficient by themselves for safety or regulatory obligations, or able to detect every tamper event, unauthorised action, disconnection, lock condition or hazardous event. Hardware warranties, if any, are governed by applicable sales or warranty terms.
12. Liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. Subject to that requirement, Meteoros will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss; loss of profit, revenue, production, business opportunity, goodwill, anticipated savings or data; or failures caused by customer configuration, misuse, unsafe procedures, third-party systems, network or power failure, inadequate training, physical conditions, unauthorised access or events beyond reasonable control. Meteoros' aggregate liability arising from the Services will not exceed the fees paid or payable by the customer for the affected Services during the 12 months preceding the event giving rise to the claim, unless a different cap is stated in the customer agreement. Mandatory statutory rights remain unaffected.
13. Indemnity
To the extent permitted by law, the customer will indemnify Meteoros against third-party claims arising from unlawful or unauthorised use, customer data, incorrect configuration, failure to implement required safety procedures, use contrary to documentation or these Terms, or violation of law or third-party rights.
14. Changes
Meteoros may update these Terms to reflect changes to the Services, law, security requirements or business operations. Material changes will be communicated where required. Continued use after the effective date constitutes acceptance, subject to mandatory legal requirements.
15. Governing law
These Terms are governed by the laws of India, excluding conflict-of-law principles. Courts of competent jurisdiction in Chennai, Tamil Nadu, India will have jurisdiction, subject to any mandatory consumer, data-protection or other statutory rights.
